Terms of Service

1. What Quotd does

Quotd generates deal briefs for sales teams by reading data from your connected tools (calendar, CRM, call recorders, email, Slack) and delivering summaries via Slack, HubSpot, and our dashboard.

2. Eligibility

You must be at least 18 years old and authorized to bind the organization subscribing to the Service.

3. Your account

• You are responsible for keeping your login credentials secure
• You are responsible for all activity under your account
• You must provide accurate information
• Notify us immediately at support@quotd.sh if you suspect unauthorized access

4. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose
• Reverse-engineer, decompile, or attempt to extract source code
• Interfere with or disrupt the Service
• Access the Service through automated means except via our documented API
• Resell or redistribute the Service without our written consent
• Use the Service to store or transmit malicious code

5. Your data

• You own your data. We do not claim ownership of any content you connect or generate through the Service
• You grant us a limited license to access, process, and store your data solely to provide the Service
• This license terminates when you delete your account

6. Pricing and payment

• DIY plan: $25 per user per month
• Enterprise: custom pricing
• Prices are in USD and exclude applicable taxes
• We bill monthly. Payment is due at the start of each billing period
• We may change pricing with 30 days notice

7. Free trials and credits

If we offer a free trial, we will tell you the terms upfront. At the end of the trial, you will be charged unless you cancel.

8. Cancellation and refunds

• You may cancel at any time from your account settings or by emailing support@quotd.sh
• Cancellation takes effect at the end of the current billing period
• We do not provide refunds for partial months
• We will delete your data within 30 days of account closure, unless required to retain it by law

9. Service availability

• We aim for high availability but do not guarantee 100% uptime
• We may perform maintenance with reasonable notice
• Enterprise customers: SLA terms are defined in your separate agreement

10. Intellectual property

• The Service, including its design, code, and documentation, is our intellectual property
• “Quotd” and our logo are our trademarks
• We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription

11. Third-party integrations

• The Service integrates with third-party tools (Google, Slack, HubSpot, Salesforce, call recorders)
• Your use of those tools is governed by their own terms
• We are not responsible for third-party service outages or changes

12. Limitation of liability

To the maximum extent permitted by law:

• The Service is provided “as is” without warranties of any kind
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• Our total liability is limited to the amount you paid us in the 12 months preceding the claim
• We are not liable for losses caused by third-party service failures

13. Indemnification

You agree to indemnify us against claims arising from your use of the Service, your breach of these terms, or your violation of any law or third-party rights.

14. Dispute resolution

• These terms are governed by the laws of the State of California, United States
• Disputes will be resolved through binding arbitration, except where prohibited by law
• Either party may seek injunctive relief in court for intellectual property violations

15. Changes to terms

We may update these terms. Material changes will be communicated via email at least 30 days in advance. Continued use after the effective date constitutes acceptance. If you disagree, you may cancel your account.

16. Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

17. Entire agreement

These terms, together with our Privacy Policy, constitute the entire agreement between you and Quotd.
